STANDARD SERVICE CONTRACT
This contract will outline the relationship between the client school and Mockingbird Education Management Consultants. It must be read in conjunction with the specific Proposal that is to precede any new assignment. No work will commence on an assignment unless the proposal and this contract is signed by both parties.
1. Mockingbird Education Management Consultants will, at no cost to the client school, establish the requirements of the client school and provide a Proposal within 5 working days.
2. Proposals will:
§ identify the scope of the assignment;
§ make a recommendation;
§ detail the deliverables that Mockingbird Education Management Consultants will undertake to provide;
§ detail the variables and assumptions that could have a bearing on the successful completion of the deliverables;
§ and propose a timeline for the completion of the assignment.
3. Fees: All fees are GST exclusive. Two billing methods apply, and the chosen method will be determined by negotiation between Mockingbird Education Management Consultants and the client school:
§ Fixed Price and Deliverables Based Payment
The professional fees for the assignment are fixed or contingent on the completion of the deliverables by Mockingbird Education Management Consultants
§ Bonus / Penalty Contract
Under this contract a target cost is agreed for the entire assignment and the work is billed on a time and materials basis. If the assignment is completed sooner than expected, the difference is split between Mockingbird Education Management Consultants and the client school according to a predetermined ratio.
If the assignment takes longer than expected, additional work is billed at a reduced rate. Therefore both parties have an incentive to complete the work within budget and time.
4. Terms of payment:
§ The client school undertakes to make payments by the 20th of month following date of invoice.
§ The client school will provide Mockingbird Education Management Consultants with a valid purchase order, or equivalent, for each assignment.
§ For longer assignments, the total bill may be invoiced in instalments (monthly or quarterly, as agreed at the time of any assignment).
5. Confidentiality:
Both parties agree to keep confidential any information (including, but not limited to, information regarding other clients, financial affairs, present or future business plans and products or technical operations, not generally disclosed to the public) we provide each other during the course of this agreement and not to disclose it to any third party either without the other party's prior consent or until it falls into the public domain through no fault of the obliged party or unless the obliged party is legally compelled to disclose it.
